Vergani S.r.l. has acquired 100% of Scarpato S.r.l. from its current shareholders.

Scarpato S.r.l. is a historic family-owned company based in Villa Bartolomea (Verona), specializing in the artisanal production of high-quality holiday cakes (panettoni, colombe, and offella), with a strong link to the Veronese tradition since 1888.

Vergani S.r.l. is a historic family-owned company based in Milan, founded in 1944, specializing in the production of high-quality panettoni and traditional leavened cakes following the Milanese artisanal tradition. It is the only Milan-based company producing panettone on an industrial scale directly in the city.

The transaction aims to broaden Vergani’s product range, strengthen its presence in the traditional retail channel, and further develop key seasonal categories such as pandoro and colomba. The integrated group also intends to enhance its position in the mass retail channel (GDO), while leveraging the Scarpato brand to grow in the specialized retail segment. The combination of the two companies creates a group with €31 million in revenues, targeting €33 million in turnover by 2025.

Vitale acted as financial advisor to the buyers, providing support in the structuring of the transaction, the due diligence process, the definition of the acquisition perimeter, and the negotiation phases.
