- Deal description:
Sanpellegrino Group has sold the Acqua Vera business unit to AQua Vera S.p.A., a company owned by the Quagliuolo family and other important managers of the industry.
Acqua Vera is the business branch owned by the Sanpellegrino Group (Nestlé Group) active in the production and commercialization of mineral water. The water is extracted from three springs located near the production plants of Castrocielo (Lazio), Santo Stefano Quisquina (Sicily) and San Giorgio in Bosco (Veneto), where it is then bottled. Acqua Vera boasts a complete product portfolio in terms of format (from 0.25lt to 2lt) and type (sparkling and still). In 2019, Acqua Vera generated a turnover of over €75mln.
The transaction envisages the acquisition by AQua Vera S.p.A. of both the Santo Stefano Quisquina and Castrocielo plants, guaranteeing the full employment continuity. The San Giorgio in Bosco plant, instead, will be owned by Sanpellegrino Group and will continue the bottling activity of the Vera mineral water according to a co-packing agreement.
AQua Vera S.p.A., newly born company owned by the Quagliuolo family and other important managers of the industry, boasts more than 30 years of experience in the production of both PET preforms and bottles as well as in the bottling industry.
Vitale&Co acted as financial advisor, assisting Sanpellegrino Group in the economic and financial analyses, origination of the transaction and definition of the structure and the terms, management of the due diligence activities, negotiations and definition of the agreement with the counterpart until the execution of the transaction.
