Rekeep S.p.A., leading Italian Group in the Integrated Facility Management sector, has sold its entire stake in Sicura Group to Argos Wityu.

Founded in 1994 and headquartered in Vicenza, Sicura is the leader in the offering of integrated services, products and systems for security management, environment and health and safety on the workplace. The Group offers 360-degree solutions in the fire safety and security, machine protection and safety “soft” corporate services sectors, and operates through its 5 brands Sicura, Emmetek, Protec, Evimed and Leonardo.

The transaction will come to completion with the creation by Argos Wityu of a newco holding controlling interests in Sicura S.p.A. The management of the Company and Rekeep will both hold minority interests of 4.5% and 6.0% respectively in newco.

Such assignment transaction falls within Rekeep’s strategy to focus on its core business, including
through the sale of non-strategic assets, and allows the Group to allocate financial resources to implement its Business Plan, which foresees the development on international markets.

Vitale&Co acted as a sell-side advisor, providing assistance in the economic and financial analyses, origination of the transaction and definition of the structure and the terms, management of due diligence activities, negotiations and definition of the agreement with the counterpart, cooperation with legal consultants in the revision, negotiation and definition of the legal documentation.
