Vitale advised Consorzio Agrario di Siena in signing agreements with its financial creditors for the transfer of its operating business unit to CAI and its real estate business unit to CAI RE.
Consorzio Agrario di Siena ("Capsi"), Consorzi Agrari d’Italia S.p.A. (“CAI”) and Consorzi Agrari d’Italia Real Estate S.r.l. (“CAI RE”) have signed agreements with Capsi’s financial creditors aimed at transferring the operating business unit to CAI and the real estate business unit to CAI RE.
Capsi, founded in 1901, is a cooperative that trades and partially produces technical means for agriculture, fertilizers, agrochemicals, seeds, animal feeds, petroleum products, machinery and equipment, and garden products. It boasts a turnover exceeding €110 million and has an extensive network of commercial, logistic, and production facilities across its reference area.
This operation strengthens CAI's strategic objective of creating a strategic hub for Italian agriculture, already comprising Consorzio Agrario dell’Emilia, Consorzio Agrario del Tirreno, Consorzio Agrario del Centro Sud, Consorzio Agrario dell’Adriatico, and Consorzio Agrario del Nordest.
Currently, CAI is a platform generating over €1bn in annual revenues, supported by more than 20.000 member farms and serving the agronomic and commercial needs of more than 200.000 farmers.
Vitale acted as Capsi's financial advisor, providing support in the structuring of the transaction and negotiation phases with banks.
